& Software Licence Agreement
These Terms of Service and Software Licence Agreement (“Terms”) govern your access to and use of the websites, software, tools, and services provided by TradeSaber Inc. (“TradeSaber,” “we,” “us,” or “our”), including the Predator X series (Order Entry, Pullback, and ORB) and any other products, downloads, or add-ons we offer for the NinjaTrader 8 platform (collectively, the “Products”). By creating an account, activating a free trial, purchasing, downloading, or using any Product, you (“you” or the “User”) agree to be bound by these Terms. If you do not agree, do not use the Products.
These Terms incorporate our Risk Disclosure (Section 12) and any policies published on tradesaber.com. Please read them together.
1. Definitions
- “Product” means any TradeSaber software, indicator, strategy, add-on, template, or download, including the Predator X series.
- “Licence” means the limited right to use a Product granted to you under these Terms.
- “Licence Key” means the credential used to activate and validate a Product on your machine.
- “Machine” means a single computer on which a Product is activated. A VPS (virtual private server) is always treated as a separate Machine, distinct from your personal computer.
- “Lifetime” means for the operational lifetime of the applicable Product, as described in Section 4.
2. Eligibility & Accounts
You must be at least 18 years of age and able to form a binding contract to purchase or use the Products. You are responsible for the information you provide, for maintaining the security of your account and Licence Keys, and for all activity that occurs under your account. Notify us promptly at support@tradesaber.com if you suspect unauthorized use.
3. Free Trial
We offer a free trial of the Predator X Order Entry System so you can evaluate it with full features before purchasing. No payment card is required to start a trial, and you activate it yourself from your account. Unless stated otherwise at the time, the trial runs for 7 days from activation.
Free trials are intended for genuine evaluation and are limited to one per person or household. We may modify, limit, suspend, or discontinue the free trial — or revoke access where we reasonably believe it is being abused (for example, repeated or fraudulent trial activations) — at any time and without notice.
4. Licence Grant & Ownership
Subject to these Terms and your payment of the applicable fees, TradeSaber grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable Licence to install and use the purchased Product for your own trading. Each Licence is sold as a Lifetime Licence for a single one-time payment — there is no recurring subscription, and updates to that Product are included at no additional cost for the platform it was purchased for.
“Lifetime” refers to the operational life of the Product itself, not the natural life of the User. A Product’s lifetime may be affected by factors outside our control — including changes to the NinjaTrader platform, brokers, data feeds, or operating systems — and we may at our discretion retire, replace, or discontinue a Product. Nothing in these Terms guarantees indefinite availability, updates, or support for any Product.
The Products are licensed, not sold. TradeSaber and its licensors retain all right, title, and interest in and to the Products, including all source code, intellectual property, and copyrights. You receive only the rights expressly granted here.
5. Machine Licences & Transfers
Each Licence Key works on one Machine at a time. You may move your Lifetime Licence between computers yourself at any time: deactivate the Licence from your account on the website, then activate the same key on the new Machine.
- To run a Product on more than one Machine at the same time, you need an additional Licence for each simultaneous Machine.
- VPS use. A VPS is always a separate Machine. If you run a Product on a VPS in addition to your own computer, you need an additional Licence for the VPS — a single Licence does not cover both, and a VPS is not treated as an extension of the Machine you already have activated.
- Additional/add-on Licences are offered at a reduced price, and bulk discounts are applied automatically at checkout when multiple Licences are purchased together. Add-on pricing is applied when you are logged into your account.
Licence Keys are issued to you and may not be sold, shared, sublicensed, rented, or transferred to any third party, unless written consent has been approved from TradeSaber Inc.
6. Purchases, Pricing & Payment
Purchases are processed through our online store. Prices are listed in U.S. dollars (USD) unless stated otherwise and are exclusive of any taxes, duties, or payment-processor fees, which are your responsibility where applicable. We may update pricing, product offerings, and promotions at any time; the price that applies to your purchase is the one displayed at checkout when you complete it. You are responsible for providing accurate billing information.
7. Delivery, Updates & Support
Products and Licence Keys are delivered digitally, typically instantly, to your account after purchase. Downloads and the latest versions are available from your account at https://tradesaber.com/license-manager/, and updates may also be posted in our Discord community.
We aim to provide reasonable support through our Discord and contact channels, and to keep our download and licensing services available, but support and updates are provided on a commercially reasonable, as-available basis. We do not guarantee any particular response time, uptime, or that any specific feature, update, or fix will be released.
8. Refunds & Returns
Because a full-featured free trial is available before purchase, and because the Products are digital software delivered instantly, all sales are final and Licence purchases are non-refundable, except where a refund is required by applicable law or is granted at TradeSaber’s sole discretion. Where a refund is issued, the related Licence will be deactivated and may no longer be used.
9. Third-Party Platforms & Requirements
The Products are add-ons that run inside NinjaTrader 8 and require a compatible, properly licensed installation of that platform, which you must obtain and maintain separately. The Products may also interact with third-party indicators, brokers, and data feeds. TradeSaber is not responsible for the availability, performance, accuracy, pricing, or policies of NinjaTrader or any other third-party platform, broker, or data provider, and any issues with those services are between you and the relevant provider.
10. Acceptable Use & Restrictions
You agree that you will not, and will not permit anyone else to:
- copy, resell, redistribute, rent, lease, sublicense, publish, or otherwise share a Product, its Licence Key, or its code with any third party;
- reverse engineer, decompile, disassemble, or attempt to derive the source code of a Product, except to the limited extent this restriction is prohibited by law;
- circumvent, disable, or tamper with any licensing, activation, security, or usage-validation mechanism;
- modify, adapt, or create derivative works from a Product, or remove any proprietary notices;
- use a Product for any unlawful purpose or in any way that could damage, disable, or impair our services or infrastructure.
Violation of this section is a material breach of these Terms and may result in immediate suspension or termination of your Licence and account (Section 16), without refund.
11. Intellectual Property
TradeSaber Inc. and all of its Products, source code, names, logos, images, guides, and other materials are owned by TradeSaber Inc. and protected by copyright and other intellectual-property laws. Except for the limited Licence granted in Section 4, no rights are transferred to you. You may not use our name, logos, or branding without our prior written permission.
12. Trading Risk Disclosure & No Financial Advice
Trading futures, forex, and other leveraged products involves substantial risk of loss and is not suitable for every investor. You may lose more than your original investment, and you should only trade with risk capital you can afford to lose. You should carefully consider whether trading is appropriate for you in light of your circumstances, knowledge, and financial resources.
No guarantee of performance. Our Products are automation and order-management tools. They do not guarantee any particular result or profit, and past performance is not indicative of future results. Any examples or hypothetical results are illustrative and educational only.
Hypothetical performance (CFTC Rule 4.41). Hypothetical or simulated performance results have inherent limitations. Unlike an actual performance record, simulated results do not represent actual trading and, because the trades were not executed, may under- or over-compensate for factors such as lack of liquidity. Simulated programs are also designed with the benefit of hindsight. No representation is made that any account will or is likely to achieve profits or losses similar to those shown.
Not financial advice. The Predator X series and all TradeSaber Products are software tools — not financial, investment, or trading advice, and not trading signals. TradeSaber Inc. is not a registered investment advisor, broker-dealer, or commodity trading advisor. All trading decisions are your own responsibility.
Test before you trade live. We strongly recommend thoroughly testing any Product in NinjaTrader’s Simulation / Market Replay environment before using it on a live funded account. Automated tools can behave unexpectedly during fast markets, data outages, or when misconfigured. You accept full responsibility for every order placed on your account, whether manual or automated. 13. Disclaimer of Warranties
The Products and services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Products are error-free, that they will meet your requirements, or that licensing servers, downloads, or other services will be uninterrupted, secure, or available at any given time. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
14. Limitation of Liability
To the fullest extent permitted by law, TradeSaber Inc. and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, trading losses, revenue, data, or goodwill, arising out of or relating to the Products or these Terms, even if advised of the possibility of such damages. In all cases, our total aggregate liability to you for any claim relating to a Product is limited to the amount you actually paid to us for that Product.
15. Indemnification
You agree to indemnify and hold harmless TradeSaber Inc. and its officers, directors, employees, and agents from any claim, demand, loss, or expense (including reasonable legal fees) arising out of your use or misuse of the Products, your trading activity, your violation of these Terms, or your violation of any law or third-party right.
16. Suspension & Termination
These Terms apply for as long as you use the Products. You may stop using the Products at any time. We may suspend or terminate your Licence, account, or access — including by deactivating Licence Keys — immediately and without notice if you breach these Terms, misuse the Products, or engage in fraudulent or unlawful activity. On termination for breach, the Licence granted to you ends, you must stop using the affected Products, and no refund is owed. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will continue to apply.
17. Privacy
We collect and process account, purchase, and licence-activation information in order to provide the Products and services. Our handling of personal information is described in our Privacy Policy, which forms part of these Terms.
18. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the version and effective date above and post the updated Terms on our website. Your continued use of the Products after changes take effect constitutes acceptance of the updated Terms. If you do not agree to a change, stop using the Products.
19. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Province of Prince Edward Island and the federal laws of Canada applicable there, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located in Prince Edward Island for any dispute arising out of or relating to these Terms or the Products. To the extent permitted by applicable law, you agree to bring any claim only in your individual capacity and not as a plaintiff or member in any class or collective proceeding.
20. General
Entire agreement. These Terms, together with the Risk Disclosure, Privacy Policy, and any policies referenced here, are the entire agreement between you and TradeSaber Inc. regarding the Products and supersede any prior understanding.
Severability. If any provision is found unenforceable, it will be limited or removed to the minimum extent necessary, and the remaining provisions will stay in full effect.
Assignment. You may not assign or transfer these Terms or your Licence without our prior written consent. We may assign these Terms in connection with a reorganization or sale of our business.
Waiver & force majeure. Our failure to enforce any provision is not a waiver of it. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including outages of third-party platforms, brokers, data feeds, or internet services.
